Lead Plaintiff Union Asset Management Holding AG, on behalf of itself and the Court-certified Class, has reached a settlement of this securities class action with Oracle Corporation (“Oracle”) and the other Defendants.
The Settlement provides a total recovery of $17,500,000 in cash for the benefit of the Class. On January 12, 2023, the Court held a hearing to consider
final approval of the Settlement and related matters. On January 13, 2023, the Court entered a
final Judgment approving the Settlement and orders approving the Plan of
Allocation and awarding attorney's fees and litigation expenses.
If you are a member of the Class, you are subject to the Settlement and you may be eligible for a payment from the Settlement, unless you requested to be excluded. The Class consists of:
All persons and entities who purchased or otherwise acquired the common stock of Oracle during the period from May 10, 2017 through June 20, 2018, inclusive (the “Class Period”), and who were damaged thereby.
Excluded from the Class are: (i) Defendants; (ii) Immediate Family Members of the Individual Defendants; (iii) any person who was an Officer or director of Oracle during the Class Period; (iv) any firm or entity in which any Defendant has or had a controlling interest; (v) parents or subsidiaries of Oracle; and (vi) the legal representatives, agents, heirs, beneficiaries, successors-in-interest, or assigns of any excluded person or entity, in their respective capacity as such.

The Court-ordered deadline for
submission of Claim Forms was February 3, 2023, and we cannot guarantee
that the Court will accept late claims. Nevertheless, if you believe you
are a Class Member and you wish to be eligible for a payment and you have not yet
submitted a Claim Form, you may wish to submit your Claim Form and supporting
documentation to the Claims Administrator as soon as possible. If your
claim is otherwise eligible and is received while the Claims Administrator’s
processing of other timely claims is still ongoing, Lead Counsel will ask the
Court to accept it. As noted, however, we cannot guarantee that the Court
will accept any or all late claims in this action.
Payments to eligible claimants will be made only after any appeals are resolved and after the completion of all claims processing. Please be patient, as this process will take some time to complete.
